USCA UNION Website Terms of Use


These terms of use ("Terms of Use") are provided on behalf of Upstart Network, Inc. and its affiliates ("Upstart", "we", "us", "our") and apply to your use of https://www.upstart.com or any other of our websites or mobile applications (collectively, the "Site"). You agree that you have read, understand and agree to be bound by these Terms of Use. Please read them very carefully. If you do not wish to be bound by these Terms of Use, you must not access or use the Site. In addition to these Terms of Use, you may enter into other agreements with us, Upstart Network Trust (“UNT”), banks and other lenders (“Lenders”) and with others that will govern your use of certain of the products and services offered on the Site. If there is any contradiction between these Terms of Use and another agreement you enter into that is applicable to a product or service offered on the Site, then the other agreement will take precedence with respect to that product or service.


Eligibility

This Site is intended solely for users who are 18 years of age or older, and any registration or use of the Site by anyone under 18 is unauthorized and in violation of these Terms of Use. By using the Site, you represent you are 18 or older and that you agree to and to abide by all of the terms and conditions of these Terms of Use. If you violate any of these Terms of Use, or violate any other agreement with us, we may terminate your registration, and any content or information that you have posted on the Site and/or prohibit you from using or accessing our products and services or the Site.


Privacy

The Upstart Privacy Policy and the applicable Lender’s Privacy Policy explains how the personal information you provide on or in connection with the Site is used, disclosed and protected by Upstart, UNT, and/or such Lender.


Limited License

Subject to your compliance with these Terms of Use, Upstart grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Site. Further, Upstart grants you a limited non-exclusive, non-transferable, and non-sublicensable license to download and install a copy of any of our mobile applications on a mobile device that you own or control.


Your Account

When you successfully register with us you will be required to create an account on the Site that uses your email address as your username and you must pick a password. You may not disclose your username or password to any third party. If you learn of any unauthorized use of your password or account, please contact us immediately. You will be required to login in order to use certain parts of the Site.

You may be presented with the opportunity to register, apply for a loan offer, or register to be an investor through the Site. When you register, become an investor, or apply for a loan, you agree to provide current, complete, and accurate information about yourself. If any information you provide is untrue, inaccurate, not current, or incomplete, we have the right to cancel your registration, reject any application you have submitted, terminate any agreement we have with you or, if we are acting in a servicer capacity, recommend UNT terminate any agreement with you and restrict your future use of the Site and the products and services available through it. We reserve the right to reject any registration and/or decline any application for a loan.


Restrictions on Use

You agree to abide by all applicable laws and regulations in your use of the Site and the products and services available through our Site. In addition, you agree that you will not do any of the following:

  • Register for more than one account (unless the additional account is for purposes of applying for additional products or services), or register for an account on behalf of an individual other than yourself or on behalf of any group or entity;

  • Submit content that in our judgment is objectionable, such as content that is harmful, threatening, inflammatory, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or otherwise objectionable, or which restricts or inhibits any other person from using or enjoying the Site, or which may expose us or our users to any harm or liability of any type

  • Impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity;

  • Use the Site or our products and services in any manner that could damage, disable, overburden or impair the Site; or

  • Submit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.


Copyright Complaints

If you believe that any material on the Site infringes upon any copyright that you own or control, you may send a written notification to us via email at support@upstart.com, or via regular mail at Upstart Network, Inc., P.O. Box 1503, San Carlos, CA 94070. In your notification please:

  • confirm you are the owner, or authorized to act on behalf of the owner, of the copyrighted work that has been infringed;

  • identify the copyrighted work or works you claim has been infringed;

  • identify the material that you claim is infringing or is the subject of infringing activity and that is to be removed; please include information reasonably sufficient to permit us to locate the material;

  • provide your contact details, including an email address; and

  • provide a statement that the information you have provided is accurate and that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent or the law.


Changes and Modifications

We reserve the right to temporarily or permanently modify or discontinue the Site, or any portion of the Site, for any reason, without notice to you. We may also change the Terms of Use from time to time. The “Effective Date” at the end of the Terms of Use indicates when these Terms of Use were last changed. If we make future changes, we will provide you with notice of such changes, such as by sending an email, providing a notice through our Site, or updating the date at the top of these Terms of Use. Unless we say otherwise in our notice, the amended Terms of Use will be effective immediately, and your continued use of our Site after we provide notice will confirm your acceptance of the changes. If you do not agree to the amended Terms of Use, you must immediately stop using our Site.


Links

We are not responsible for the information practices employed by sites linked to or from our web site. In most cases, links to third party web sites are provided solely as pointers to information on topics that may be useful to our users. Since third party websites may have different privacy policies and/or security standards governing their sites, we advise you to review the privacy policies and terms and conditions of these sites prior to providing any personal information.


No Warranty; Errors

The Site and the products and services made available through it are provided "as is" and without any representation or warranty, whether express, implied or statutory. Upstart, UNT, the Lenders and our respective officers, directors, agents, employees and suppliers specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. Neither we, UNT nor the Lenders warrant the accuracy, adequacy or completeness of the information provided on the Site and we, UNT and the Lenders expressly disclaim liability for any errors or omissions in such information. Neither we, UNT nor the Lenders guarantee continuous, uninterrupted or secure access to the Site, and the operation of the Site may be interfered with by numerous factors outside of our control. Neither we, UNT nor the Lenders guarantee or promise any specific results from use of the Site and/or our products and services. Calculators and tools on the Site provide you with estimates that may be different than actual amounts. Neither we, UNT nor the Lenders are responsible for the conduct, whether online or offline, of any user of the Site or the products or services available through it. You agree that Upstart, on behalf of itself, UNT or any Lender, may promptly correct any error that we discover, including any error in calculating your loan rates. If the error results in your receipt of an incorrect interest rate, APR, origination fee, or monthly amount owed Upstart we will notify you and provide you with the correct rate. You agree to provide any additional consents necessary to correct any errors that occur.


Limitation of Liability

You agree that all access and use of the Site and its contents and your use of the products and services made available through it is at your own risk. In no event shall we, UNT or any Lender be held liable for any damages, including direct or indirect, special, incidental, or consequential damages, losses or expenses arising in connection with the Site or any linked site or use thereof or inability to use by any party, or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, even if we, a Lender or our respective representatives are advised of the possibility of such damages, losses or expenses.


Intellectual Property

You agree that the Site and all logos related to ours and the Lenders' products and services are ours, the Lenders’ and relevant licensors’ trademarks or registered trademarks, respectively. You may not copy, imitate or use them without our prior written consent. In addition, all page headers, custom graphics, button icons, and scripts are our service marks, trademarks, and/or trade dress. All right, title and interest in and to the Site, including any content thereon, products and services made available through the Site, the technology related to our products and services, and any and all technology and any content created or derived from any of the foregoing is our or our licensors’ exclusive property.


Miscellaneous

These Terms of Use shall be governed in all respects by the laws of the State of California, without regard to its provisions relating to conflict of laws. Our failure to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. If any provision of the Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms of Use remain in full force and effect.


Additional Terms for Customers Using Apple Devices

The following provisions apply if you are accessing or using our mobile application on an Apple Inc. (“Apple”) branded mobile device. These Terms of Use, including this section, constitute a custom EULA for our mobile application for purposes of Apple’s agreements and you acknowledge that Apple’s standard EULA will not apply.

  • Acknowledgement. The Terms of Use are between Upstart and you only, and not with Apple. As between Apple and us, we are solely responsible for our mobile application and the content thereof.

  • Scope of License. The license granted to you for our mobile application under the Terms of Use is limited to a non-transferable license to use our mobile application on any Apple-branded products that you own or control and as permitted by the Apple Usage Rules set forth in the app Store Terms of Service, except that our mobile application may be accessed, acquired, and used by other accounts associated with the purchaser via “Family Sharing” or volume purchasing.

  • Maintenance. We are not obligated to provide support or maintenance for our mobile application except as required by law. Apple has no obligation to provide any maintenance or support with respect to our mobile application.

  • Warranty. We are solely responsible for any warranties, whether express or implied by law to the extent not effectively disclaimed by these Terms of Use. In the event of any failure of our mobile application to conform to any applicable warranty not effectively disclaimed, you may notify Apple, and Apple will refund the purchase price (if any) for our mobile application; and you agree that, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to our mobile application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be our sole responsibility.

  • Liability. We, and not Apple, are responsible for addressing claims relating to our mobile application, including: (i) product liability claims; (ii) claims that our mobile application fails to conform to any legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

  • IP Claims. In the event of any third-party claim that our mobile application or your possession and use of our mobile application infringes any third-party’s intellectual property rights, we, and not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

  • Legal Compliance. You represent and warrant that you (i) are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) are not listed on any U.S. Government list of prohibited or restricted parties.

  • Name and Address. If you have any questions, complaints, or claims with respect to our mobile application, they should be directed to us as the email address specified below.

  • Third-Party Beneficiaries. Apple and its subsidiaries are third-party beneficiaries of these Terms of Use and will have the right (and will be deemed to have accepted the right) to enforce these Terms or Use against you as a third-party beneficiary thereof.
